Bylaws of BrownGirlRDH Nonprofit Organization
Article I: Name and Purpose
Section 1: Name
The name of this organization shall be BrownGirlRDH Nonprofit Organization, hereafter referred to as BrownGirlRDH.
Section 2: Purpose
BrownGirlRDH provides preventative and lasting solutions to major issues that plague minorities and underserved communities in the field of oral care. The organization recognizes the significant effects oral care has on the overall well-being of individuals, families, and professionals. With a commitment to inclusivity, access to care, and overall well-being, BrownGirlRDH aims to address these issues through advocacy, education, and support initiatives.
Article II: Membership
Section 1: Eligibility
Membership in BrownGirlRDH is open to individuals who support the mission and values of the organization. Membership is inclusive and does not discriminate based on race, gender, ethnicity, or any other characteristic.
Section 2: Rights and Responsibilities
Members of BrownGirlRDH have the right to participate in organization activities, attend meetings, and voice their opinions on matters concerning the organization. Members are expected to uphold the values and mission of the organization, contribute positively to the community, and support the initiatives of BrownGirlRDH.
Section 3: Dues
Membership dues may be established by the board of directors. Members who fail to pay dues may be considered inactive and may lose their voting rights.
Article III: Board of Directors
Section 1: Composition
The board of directors shall consist of a President, Vice President, Secretary, Treasurer, and three members-at-large. The board shall be elected by the membership for a term of two years.
Section 2: Duties
The board of directors shall be responsible for overseeing the activities and affairs of BrownGirlRDH. This includes setting goals, developing programs, managing finances, and evaluating the impact of the organization's initiatives. The board shall meet regularly to discuss progress, make decisions on behalf of the organization, and ensure alignment with the mission and values of BrownGirlRDH.
Article IV: Advisory Board
BrownGirlRDH shall establish an advisory board composed of individuals with expertise in dental hygiene, healthcare policy, finance, communications, technology, diversity and inclusion, continuing education, and strategic planning. The advisory board shall provide guidance, insights, and support to the board of directors in fulfilling the mission and goals of BrownGirlRDH.
Article V: Meetings
Section 1: Annual Meeting
An annual meeting of the membership shall be held each year to elect board members, approve the budget, and discuss organizational matters.
Section 2: Special Meetings
Special meetings may be called by the board of directors, the advisory board, or by petition of at least 10% of the membership. Notice of special meetings must be given at least two weeks in advance.
Article VI: Amendments
These bylaws may be amended by a two-thirds majority vote of the membership at a regular or special meeting. Proposed amendments must be submitted in writing at least 30 days prior to the meeting.
Article VII: Dissolution
In the event that BrownGirlRDH is dissolved, any remaining assets shall be distributed to a nonprofit organization with a similar mission, as determined by the board of directors.
